Description

The Bank wishes to commission an independent, evidence-based evaluation of its Private Equity portfolio in order to: establish a clear and reconciled view of financial performance; test the portfolio’s alignment with the Four Cardinal Points and the TYS; assess the development, social and economic impact actually realized; and derive forward-looking lessons to inform origination, portfolio management, capital allocation and the Bank’s broader role in mobilizing private capital for Africa. To that effect, PINS/PIVP is looking for Independent Performance, Strategic Alignment and Development Impact Evaluation of the African Development Bank’s Private Equity Portfolio (Direct Equity Investments and Investments in Private Equity Funds).

A. Background ObjectivesThe African Development Bank Group (the “Bank” or “AfDB”) is Africa’s premier multilateral development finance institution, comprising the African Development Bank (ADB), the African Development Fund (ADF) and the Nigeria Trust Fund (NTF). The Bank pursues its mandate through sovereign and non-sovereign operations, including loans, guarantees, risk-participation instruments and equity investments, with the objective of contributing to the sustainable economic development and social progress of its regional member countries (RMCs).The Bank’s operations are guided by its Ten-Year Strategy 2024–2033 (the “TYS”), which articulates a vision of a prosperous, inclusive, resilient and integrated Africa, underpinned by two twin strategic objectives: accelerating inclusive green growth, and driving prosperous and resilient economies. The TYS is delivered through cross-cutting priorities, including gender and women’s empowerment, climate resilience and biodiversity, fragility and resilience, governance, and private-sector and capital-market development.This evaluation is further to be assessed against the Bank’s current strategic direction articulated by the President in the “Four Cardinal Points,” the refined framework endorsed by the Board of Governors at the 2026 Annual Meetings.Equity and private-equity instruments sit at the intersection of all four Cardinal Points: they are a primary mechanism for mobilizing and catalyzing private capital, for capitalizing and strengthening African financial institutions, and for financing enterprise growth, job creation and value addition. A rigorous, independent reading of the portfolio’s performance and impact is therefore directly relevant to the Bank’s strategic agenda
B. Scope of workThe scope of work is organized into 7 components (A-G). The Consultant is expected to address all of them and may propose additional analyses that enhance the evaluation. Each component applies to both direct equity investments and investments in PE funds, with explicit treatment of the differences between the two.Component A: Portfolio Mapping and Data Assembly

D. Duration and Timetable for the AssignmentThe firm will be hired for Eighteen (18) working weeks from contract signature.
E. Bank Contribution and Institutional ArrangementThe Non-Sovereign Operations and Private Sector Support Department (PINS) invites Consultants to indicate their interest in providing the above-described services. Interested Consultants shall provide information on their qualifications and experience demonstrating their ability to undertake this Assignment (Company profile, documents, reference to similar services, experience in similar assignments, etc.).
F. Duty StationThe firm will work remotely but should be readily available for coordination with the Team. The consultancy firm team members may be required to travel for missions and work-related engagements as needed. The Bank will cover full costs of any required trip/missions if needed and provide per-diem in accordance with rules governing consultant mission travel.
G. Essential Specialized Skills/Knowledge/CompetenciesThe consultancy firm Qualifications and Team Composition are detailed below:6.1 Firm Qualifications
• Demonstrated experience evaluating or advising on private equity / fund-of-funds and direct equity portfolios, ideally for DFIs, MDBs, sovereign wealth funds or institutional LPs;
• Proven capability in PE performance measurement and valuation (IRR/TVPI/DPI, IFRS 13 / IPEV) and in development-impact evaluation (ADOA, HIPSO, OECD-DAC criteria, impact-management standards);
• Track record on the African continent and familiarity with African PE/VC markets, DFI operations and local-currency investment dynamics;
• Verifiable independence from the Bank’s PE portfolio (no prior involvement in origination, structuring, supervision or valuation of in-scope investments) and absence of disqualifying conflicts of interest;
• English working capability essential; French capability strongly preferred.6.2 Team Details
The Consultant shall identify all key Project team members by name, with CVs evidencing the required qualifications. Substitution of key members after award requires the Bank’s prior written approval and equivalent or superior qualifications.A shortlist of 6 Consulting Firms will be established at the end of the request for expressions of interest.
